Public offer agreement

1. GENERAL PROVISIONS

1.1. This public offer to make a charitable donation (hereinafter the “Offer”), in accordance with Article 641 of the Civil Code of Ukraine, is a proposal by the Charitable organization “International Charitable Foundation of Oleksandr Andriuk”, legal entity identification code 41481057, located at: 33013, Ukraine, Rivne Oblast, the city of Rivne, 17 Myru Avenue (hereinafter the “Foundation”), represented by Director Oleksandr Mykolaiovych Andriuk, acting on the basis of the Charter, addressed to an indefinite circle of legally capable natural persons and private-law legal entities that voluntarily engage in charitable activity (hereinafter each such person is a “Donor”), to enter into an agreement on making a charitable donation (hereinafter the “Agreement”) on the terms described in this Offer with each Donor who applies.

1.2. This Offer takes effect from the moment it is posted on the Foundation’s website on the Internet at: https://andriukfoundation.com (hereinafter the “Website”). This Offer is of indefinite duration and may be changed or withdrawn by the Foundation at any time (before it is accepted by the Donor) by posting the relevant information on the Website.

1.3. The Foundation may enter into agreements on making a charitable donation in a different manner and/or on terms other than those provided by this Offer. A Donor may apply to the Foundation separately to conclude such an agreement.

2. SUBJECT OF THE AGREEMENT

2.1. The subject of this Agreement is the Donor’s gratuitous and voluntary transfer of funds into the ownership of the Foundation by making a charitable donation for the Foundation’s statutory activities. The Donor independently determines the amount of the charitable donation. The Foundation independently determines the areas in which the charitable donation will be used within its own statutory activities, unless the Donor has specified otherwise in the manner set out in this Agreement. The subject of this Agreement is not the receipt of profit, directly or indirectly, by either Party to the Agreement.

2.2. The Donor’s transfer of funds under this Agreement is recognized as a charitable donation in accordance with Article 6 of the Law of Ukraine “On Charitable Activities and Charitable Organizations.”

3. FOUNDATION ACTIVITIES

3.1. The Foundation carries out charitable activity in accordance with its Charter, in particular in the sphere of increasing the country’s defense capability and mobilization readiness in connection with the military aggression of the Russian Federation.

3.2. The Foundation’s activities are not aimed at making a profit.

3.3. Information about the Foundation’s activities and reports on the results of those activities are posted on the Website.

4. MAKING A DONATION

4.1. A charitable donation is voluntary and is not subject to later return to the Donor.

4.2. Under this Offer and Agreement, charitable donations are made by Donors and used by the Foundation to carry out and support the Foundation’s charitable activities (implementing the areas and goals of charitable activity and charitable programs) in accordance with the Charter and the legislation of Ukraine. The Donor agrees to this designated purpose of their donation.

4.3. The Donor independently determines the amount of the charitable donation and makes it by a money transfer using the payment forms and means posted on the Website.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The Foundation undertakes to use the Donor’s charitable donation funds in strict accordance with the legislation of Ukraine and only within the limits of its statutory activities.

5.2. The Foundation has the right to independently determine the areas in which a charitable donation is used in accordance with its statutory activities and the legislation of Ukraine, except in cases where the Donor has specified a particular purpose for their donation under a separate agreement with the Foundation.

5.3. By making a charitable donation, the Donor unconditionally affirms (i) their legal capacity, (ii) that they are entering into the transaction voluntarily, and (iii) that the subject of the charitable donation is not under a prohibition, seizure, pledge, or the like.

6. ACCEPTANCE

6.1. Acceptance is the full and unconditional acceptance of the Public Offer by taking actions to make a money transfer using the payment forms and means posted on the Site, as well as by transferring funds to the Foundation’s settlement account through banking institutions.

7. FINAL PROVISIONS

7.1. The Foundation processes the Donor’s personal data in accordance with the Privacy Policy.

7.2. All disputes are resolved through negotiation or in court in accordance with the legislation of Ukraine.
